Innhold: | Directive (EU) 2017/828 amending the shareholders’ rights directive 2007/36/EC (»SHRD II«) requires, among other things, member states to legislate on relatedparty transactions in listed companies. The directive requires member states to ensure that material related party transactions are submitted to approval by the shareholders or by the administrative or supervisory2 body according to procedures that prevent the related party from taking advantage of its position and provide adequate protection for the interests of the company and of the shareholders who are not a related party, including minority shareholders. |
