Innhold:On January 1, 2024, new Norwegian legislation on gender composition in the boards of Norwegian enterprises came into effect. The rules dictate that by December 31, 2024, 4 400 enterprises must appoint a total of 6 600 new board members, the majority of whom must be women. Norway is the first country in the world to implement such comprehensive regulation on the gender composition of the boards. The regulation is an expression of an aggressive gender equality policy and goes beyond the minimum requirements of Directive (EU) 2022/2381. Given the considerations behind the Norwegian rules, which include facilitating equal opportunities for men and women, it is evident that they are founded on the desire to increase the proportion of women on boards.

This article addresses the new regulations for private limited liability companies, which will gradually be introduced until July 1, 2028. The new regulations cover limited liability companies which, on the balance sheet date for the annual accounts, have either operating and financial revenues that together are greater than 50 million NOK, or have more than 30 employees, cf. The Limited Liability Companies Act section 6-11 a first paragraph. In section 6-11 a second paragraph, the requirements for gender composition are formulated as a requirement for the maximum representation of one gender. The rules apply to boards with three or more members. The maximum number of board members that can be of one gender depends on how many members the board has.

1. Innledning
Ved Lov om endringer i foretakslovgivningen mv. (kjønnssammensetning i styret) (LOV-2023-12-20-114) ble det vedtatt nye regler om kjønnssammensetning i styrene i norske foretak. Reglene som trådte i kraft 1. januar 2024, innebærer at 4 400 foretak innen 31. desember 2024 må ha til sammen ca. 6 600 nye styremedlemmer, hvorav de fleste kvinner.
