Innhold:One of the main topics of the NTS’s anniversary conference on Nordic co-operation on the implementation of European company law, held on 4 October 2019 in Copenhagen, was the implementation of the Shareholder Rights Directive II (SRD II) into national law among the Nordic countries. The deadline for this implementation was 10 June 2019. However, this deadline only applies to Member States of the European Union (EU) – not Iceland and Norway, which are not part of the EU but form the internal market along with EU Member States through the EEA Agreement, along with Lichtenstein. The deadline for implementation in Iceland and Norway has not even been set at the time of writing since the directive has to be incorporated into the EEA Agreement.
This means that a time period exists when EU legislation has entered into force in EU Member States but not in the EEA EFTA States such as Iceland and Norway, and EU company law is no exception. The aim of this article is to touch upon this issue in relation to company law from an EEA perspective as well as the extent of Nordic co-operation in light of the different statuses of EU Member States and EEA EFTA States.
