Innhold: | Introduction The European Commission (hereinafter the EC) is expected to present a final proposal regarding directors’ duties and sustainability in the fall of 2021. The proposal builds on a study from Ernst & Young in Italy (hereinafter “the Study”), which has been commissioned by the EC. The Study was published in late July of 2020, with subsequent calls for feedback and public consultation during the fall and winter of the same year. The Study has received scathing criticism from a large number of recognized actors in academia and the industry in Europe and internationally. The Nordic region has been particularly active in the critic. In May 2021, the EC’s internal “Regulatory Scrutiny Board” gave the proposal a red card after conducting an impact assessment. Consequently the proposal, which was originally scheduled for adoption in June, has been postponed. |
